Provider Agreement.
For independent service providers joining HelpMyNest. Operator: QuadHoldings LLC, doing business as HelpMyNest.
1. Relationship Between You and HelpMyNest
You are an independent business. HelpMyNest does not employ you, supervise your work, set your prices, or guarantee you any volume of leads. HelpMyNest's role is limited to listing your profile and routing Customer quote requests to you. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship.
Because HelpMyNest never pays you for work performed — you are paid directly by the Customer, outside the Platform — this relationship sits structurally further from an employment relationship than a typical gig-platform arrangement.
Provider represents that they operate an independently established business providing home services to the general public, and that they offer their services through multiple channels, not exclusively through HelpMyNest.
Provider acknowledges that they have not relied on any representation by HelpMyNest regarding the volume, quality, reliability, or payment intentions of Customers, and that HelpMyNest makes no such representations, expressly or by implication.
2. How Leads Work
When a Customer submits a quote request matching your profile's category and service area, you will receive an email notification with a unique request link to review the request. This link is for access and tracking purposes only — it does not mean HelpMyNest has reviewed, verified, or approved the Customer or request. You may Accept or Decline any request, for any reason, with no obligation to respond. HelpMyNest does not assign work, set deadlines for response, or penalize declined requests. Response-time information displayed on your profile is an informational feature for Customers, described in Section 9, and does not constitute supervision, direction, evaluation, or penalization by HelpMyNest.
2a. Customer Non-Verification
HelpMyNest does not screen, verify, background-check, or otherwise vet Customers. Customers are members of the public who may submit service requests through the Platform. HelpMyNest makes no representation regarding any Customer's identity, creditworthiness, payment history, payment intentions, or ability to pay. Providers engage with Customers at their own commercial risk.
3. Your Representations
You represent that:
- Any license, insurance, or certification information on your profile is accurate and current
- You hold any license, permit, bond, or insurance required by California or local law for the services you offer
- You will update your profile promptly if any of this information changes or lapses
- You will not use the Platform to solicit Customers for services you are not legally authorized to perform
HelpMyNest does not independently verify this information unless your profile is explicitly marked “Verified” following a specific verification process. See How We Review Applications for details on our application review process.
4. Profile Content & Accurate Representation
You are responsible for the accuracy of your profile, including photos, descriptions, and claimed credentials. HelpMyNest may remove or edit profile content that violates our Community Guidelines or applicable law.
5. Indemnification
You agree to indemnify, defend, and hold harmless HelpMyNest and QuadHoldings LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your performance of services, any misrepresentation on your profile, or your violation of this Agreement or applicable law. This obligation survives termination.
This indemnification obligation does not apply to claims arising from HelpMyNest's own gross negligence, willful misconduct, or fraud, or from HelpMyNest's misrepresentation of Provider's credentials or profile to Customers.
Provider's indemnification obligation under this Section shall be proportionate to Provider's degree of fault in causing the underlying claim, and shall not require Provider to indemnify HelpMyNest for any portion of a claim attributable to HelpMyNest's own conduct.
HelpMyNest agrees to indemnify and hold harmless Provider from claims, damages, and expenses arising directly from HelpMyNest's own gross negligence, willful misconduct, or material misrepresentation of Provider's profile content to Customers.
6. Limitation of Liability
HelpMyNest's total aggregate liability to any Provider arising out of or related to this Agreement shall not exceed the greater of: (a) $500, or (b) the total amount of subscription, listing, or platform fees paid by Provider to HelpMyNest in the twelve (12) months preceding the claim. This cap applies regardless of the theory of liability. HelpMyNest is not liable for indirect, incidental, or consequential damages. This does not limit liability for HelpMyNest's own gross negligence, willful misconduct, or fraud.
7. Approved Language for Your Profile
Because HelpMyNest does not independently verify Provider credentials by default, please avoid language that implies HelpMyNest has endorsed, verified, or guaranteed your services. The restriction is on implying a HelpMyNest endorsement — not on stating true facts about your own business.
Avoid using: “HelpMyNest Vetted” · “HelpMyNest Verified” · “HelpMyNest Guaranteed” · “HelpMyNest Certified” · “Best Provider on HelpMyNest”
You may use factual self-reported statements about your own business, such as: “Licensed and Insured” · “Licensed Contractor” · “Fully Insured” · “Bonded and Insured”
If HelpMyNest has independently confirmed a credential through our verification process, it will be labeled “HelpMyNest Verified” by HelpMyNest itself — this designation is not available for self-reported claims.
HelpMyNest also agrees not to use the terms “Vetted,” “Verified,” “Guaranteed,” or “Endorsed” in its marketing materials to describe Providers unless those Providers have completed HelpMyNest's explicit verification process.
8. Claiming & Managing Your Profile
If your business profile was created from public information before you joined, you may claim it following the process in our Claim Profile Policy.
Profiles created by HelpMyNest from publicly available information are based solely on publicly accessible business data (business name, category, service area, contact information). HelpMyNest does not include personal photographs, likeness, or private information without Provider's consent. Upon claiming a profile, Provider assumes full responsibility for the accuracy of all profile content and may edit or remove any pre-populated information.
Unclaimed profiles created from public information are marked as unverified and do not represent HelpMyNest's endorsement of or association with that business. HelpMyNest will promptly remove any pre-created profile upon written request by the business owner at contact@helpmynest.com.
HelpMyNest does not use any individual's name, photo, or likeness for commercial purposes without consent. Business names and publicly listed contact information used in pre-created profiles do not constitute a commercial use of any individual's likeness under California Civil Code §3344.
9. Response Time
HelpMyNest may display response-time information to help customers make informed choices. Response-time information is a platform feature and does not constitute supervision, direction, performance management, or control by HelpMyNest. Providers remain free to decide whether and when to respond to any request.
10. Privacy & CCPA
Provider's personal information (including name, phone, and license information) is collected and processed in accordance with HelpMyNest's Privacy Policy and, for California residents, the California Privacy Notice. Provider may have rights to access, correct, or request deletion of personal information as provided under applicable California privacy laws, and may exercise those rights by contacting contact@helpmynest.com.
11. Provider Content License
By uploading photos, descriptions, logos, business information, or other content to the Platform, Provider grants QuadHoldings LLC a non-exclusive, royalty-free, worldwide license to display, reproduce, distribute, and promote that content on the Platform and in related marketing materials. Provider retains ownership of Provider Content.
12. Force Majeure
HelpMyNest is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, internet or telecommunications outages, third-party service failures, cyber incidents, government actions, labor disruptions, or other events outside HelpMyNest's reasonable control.
13. SMS Lead Alerts
New quote requests are sent to you by email. If you check the SMS/email consent box during sign-up, you will also receive a text message alert for each new quote request — see our SMS Terms for details and how to opt out. SMS is optional; you will always receive lead alerts by email regardless of your SMS choice.
14. Termination
Either party may terminate this Agreement by providing at least 7 days' written notice via email to the other party's registered email address. HelpMyNest may terminate immediately, without notice, if Provider violates Sections 3, 4, or 7 of this Agreement, or engages in conduct that HelpMyNest determines poses a safety risk to Customers. Sections 5, 6, and 7 survive termination.
Upon termination, Provider's active profile will be removed from public display within 30 days. Customer reviews submitted prior to termination may be retained on the Platform in anonymized form. Provider may request a copy of their profile data within 30 days of termination by emailing contact@helpmynest.com. HelpMyNest may retain archived copies of Provider Content for legal, compliance, and dispute-resolution purposes.
15. Dispute Resolution
Any dispute arising out of or relating to this Agreement will first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute will be submitted to binding individual arbitration under the rules of the American Arbitration Association, administered in Contra Costa County, CA, except that either party may bring an individual claim in small claims court if it qualifies. You and HelpMyNest each waive the right to a jury trial and to participate in a class, collective, or representative action.
Good-faith negotiation means a written notice of dispute sent to contact@helpmynest.com describing the nature of the dispute, the relief sought, and a reasonable proposed resolution, followed by a 30-day period during which both parties will attempt to resolve the dispute informally before initiating arbitration.
For claims not exceeding $10,000, HelpMyNest will advance all AAA filing fees and administrative costs. The arbitrator may allocate such costs between the parties in the final award.
Notwithstanding the foregoing, either party may seek a public injunction in a court of competent jurisdiction pursuant to California Business & Professions Code §17200 or Civil Code §1750 et seq.
Nothing in this Section waives any Provider's right to bring a representative action under California's Private Attorneys General Act (PAGA, Labor Code §2698 et seq.).
16. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
